- Poongsan will likely disclose the spin off ratio of Copper biz (Remaining Co) and Defence biz (New Co), and the process for listing of the Defence biz (New Co) will proceed

- Poongsan Holdings will own 38% of both Copper biz and Defence biz, and all existing shareholders will also own shrs in both Copper biz and Defence biz

- Before re-listing of both units, trading of Poongsan shrs will be halted for about 1 month

- After re-listing of both units, the preferred bidder (i.e. Hanwha Aero ) can then buy Poongsan Holdings' 38% controlling stake in Defence biz, while the proceeds from the sale will go to Poongsan Holdings and its shareholders only

- Street estimates the value of Defence biz at W3tn+ and Copper biz at ~W1tn, thus the combined value of the 2 units should be value incremental after spin-off and re-listing

- However, uncertainties over the split ratio and trade halt period will likely weigh on Poongsan in the near term. Post re-listing, the downside risk from the decline of Copper biz shrs can be a concern too for existing shareholders

- While Poongsan Holdings, free from trade halt/split off issue and to take 100% cash from the sale, will be a safer stock to own in the near term. Shrs will also reflect any further upside in Poongsan's Defence biz value if multiple bidders join (greater cash inflow)
