⏺ Shareholders of Genesis 2.0,

As part of the optimization procedure for Genesis 2.0 and in compliance with the requirements of Georgian legislation, the following significant decisions were made at the general meeting of the founders of the (a resident of Georgia) legal entity Genesis 2.0 (excerpt from the official protocol):

- In accordance with the requirements of Georgian legislation (Law of Georgia "On Entrepreneurs" in the latest version), Genesis 2.0 is to be liquidated by December 30, 2023.

- By January 15, 2024, a new Company (a resident of Georgia) is to be established. Zurab Kakabadze is appointed as the CEO of the Company and the founder is Zurab Kakabadze.

- To safeguard the interests of ERTC project participants, all shares of the participants are to be transferred to the new company. In due course, the management of the New Company is to carry out the issuance and registration of shares in accordance with the legislation of Georgia, and distribute the shares among the shareholders based on the quantity of shares in the new company.
