*Demerger Strides Pharma Science Limited Update:*
*Record Date -* December 6, 2024
Please note that Board of Directors of Strides, Steriscience and OneSource shall fix Record Date for allotment of shares, basis which OneSource shall allot shares to shareholders as per the share entitlement ratio provided in the Scheme. As contemplated in the Scheme, the demerged undertakings from Strides and Steriscience shall vest with OneSource effective April 1, 2024 (“Appointed Date”).
*Record Date -* Board of Directors of the Company at their meeting held fixed Friday, December 6, 2024 as the Record Date for determining names of the equity shareholders of Strides who shall be entitled for allotment of equity shares by OneSource, as consideration under the Scheme.
Share Entitlement Ratio
Consideration for Demerger shall be discharged by issue of equity shares by OneSource Specialty Pharma Limited/ Resulting Company as per the following share entitlement ratios:
for the allotment of equity shares of the Resulting Company, having face value of INR 1/- each to the shareholders of Demerged Company 1 as on the Record Date 1 (as defined in the Scheme), in consideration for the demerger:
“1 (One) equity share of Transferee Company (of INR 1/- each fully paid up) for every 2 (Two) equity shares of Transferor Company 1 (of INR 10/- each fully paid up).”
Equity shares so allotted by OneSource shall be listed on the BSE Limited and National Stock Exchange of India Limited as provided in the Scheme in due course.
