The Board of directors of the company has approved the buy-back.

The details of proposed buy-back of shares in terms of SEBI circular. The company proposed to buy-back upto 93,742 equity shares Rs.10/- each, comprising of 2.20% of the total paid-up equity capital of the company, from the equity shareholders of the company as on the record date, at a price of Rs.11,500/- ( Rupees Eleven Thousand Five Hundred Only) per equity shares (“Buy-Back Shares”), for an aggregate amount not exceeding Rs.1,07,49,28,000/- (Rupees One Hundred Seven Crores Forty Nine Lakhs Twenty Eight Thousand Only) (hereinafter referred to as the “Buy-Back (“offer size”), (being less than 25% of the total paid-up equity capital and free reserves of the company based on both financials .

Promoter’s Holding = 74.79% = 31,77,804 Equity Shares

Public holding upto Rs.2Lacs = 12.20% = 5,18,240 Equity shares
