6. *ANDHRA PRADESH* : The temple town of Tirupati in Andhra Pradesh has been flooded for four straight days now, with fresh fears around cracks developing in of the biggest water reservoirs in the state that's located in the district. No fresh downpour has been reported but breaches on highways and other roads have cut off several villages that still remain inundated.

7. The main rail and road routes in Andhra Pradesh, connecting the south and east, remained cut off as the Penna river in spate caused heavy destruction on Sunday.

8. *DELHI*: All Delhi schools are to remain shut until further notice due to city's high air pollution levels, the Directorate of Education ordered today, as the national capital continues to experience aggressively poor air quality this season.

9. *KARNATAKA* : Karnataka Assembly Speaker Vishweshwara Hegde Kageri on Sunday announced the schedule of the Karnataka Assembly session. Karnataka Assembly session will be held at Suvarna Vidhana Soudha, Belagavi from December 13 to 24, 2021.

10. *KERALA* : Kerala Chief Minister Pinarayi Vijayan on Sunday expressed thanks to Union Transport Minister Nitin Gadkari for sanctioning the six-laning work of National Highway-66 from Kodungallur in Thrissur to Edappally in Ernakulam, which is expected to cost Rs 3,465.82 crore.

11. *MAHARASHTRA*: Nationalist Congress Party minister Nawab Malik's daughter Nilofer Malik Khan posted on Twitter what she claimed was Sameer Wankhede’s marriage certificate. The document states that it was issued by marriage officer JG Barmeda of the Bandra Marriage Registrar's office.

12. Nilofer Malik Khan posted a copy of what she said was the wedding reception card of the couple. It was purportedly held on December 7, 2006, with the 'nikaah' ceremony scheduled for 7 pm followed by dinner that evening. The name of the bridegroom is printed as “Sameer' (s/o Mr Dawood and Mrs Zaheda Wankhede)” and the venue was Lokhandwala Garden in Andheri West in Mumbai.

15. Aam Aadmi Party chief and Delhi Chief Minister Arvind Kejriwal will officially kickstart "Mission Punjab" today during a 2-day visit to the state. He will visit the Moga district,180 km from the state capital Chandigarh.

16. *Rajasthan* cabinet reshuffled; 15 ministers inducted in the new cabinet. Governor Kalraj Mishra administered the oath of office and secrecy to 11 MLAs as cabinet ministers and four MLAs as ministers of state in a ceremony held at Raj Bhavan. There are six new faces among those who took oath as cabinet ministers, including Hemaram Chaudhary, Mahendrajit Singh Malviya, Ramlal Jat, Mahesh Joshi, Govind Ram Meghwal and Shakuntala Rawat.

2. The 52nd edition of the International Film Festival of India that is underway in Goa is a one-stop platform for movie lovers and film buffs to learn more about movies from around the world. Union Minister of Information and Broadcasting Anurag Singh Thakur inaugurated the Indian Panorama Section on 21 Nov. The inaugural ceremony introduced the audiences to IFFI's official selection of 24 Feature and 20 Non-Feature films under the Indian Panorama category for this year.

3. Delhi Sikh Gurdwara Management Committee (DSGMC) wrote a letter to the President of India, Ram Nath Kovind, appealing that the Padma Shri awarded to Bollywood actress Kangana Ranaut be withdrawn.

1. The department of military affairs (DMA) has given the Indian Army, Indian Navy and the Indian Air Force service headquarters six months till mid-2022 to respond to its final military theatre commands proposal before commencing the raising of much required rationalised structures for countering adversaries.

2. China has already integrated theatre commands with mixed element brigades and is now helping Pakistan to also reform its warfighting systems with theatre commands.

3. The Centre is working on a mission mode to resolve problems related to serving and retired defence personnel, Defence Minister Rajnath Singh said on 20 Nov (Saturday). Launching the second leg of the Shaheed Samman Yatra.

4. ‘Shaheed Samman Yatra', Defence Minister said that the state government should ensure that names of matyrs and the names of their villages should be inscribed on the Sainya Dham being built in Dehradun as a memorial tribute to them. Soil from homes of 1,734 martyrs' families in Uttarakhand are being collected in urns to be brought to Dehradun and used in the construction of the Sainya Dham, a vision of Prime Minister Narendra Modi.

5. the Indian Air Force would start upgrading its fleet of French-origin fighters from January 2022, with India-specific enhancements.

6. In a major boost to the Indian Navy, INS Visakhapatnam was commissioned by Defence Minister Rajnath Singh at the Naval Dockyard in Mumbai on 21 Nov. It is the first stealth-guided missile destroyer ship of Project 15B and a crucial step for the Navy to demonstrate its indigenous capability to build complex combat platforms. The destroyer is capable to enhance the Navy’s capacity and firepower to battle threats by a margin

1. Libya's interim PM Abdulhamid AlDabaiba on Sunday registered as a candidate in the country's presidential election planned for December. This comes despite AlDabaiba's vow not to contest the presidential election as a condition of taking his current post. AlDabaiba, who hails from one of Libya's wealthiest business families, was selected by a UN political forum to lead the interim government.

2. Pakistan's PM Imran Khan on Saturday said that his government will support Chinese businesses in Pakistan on a priority basis. Khan also directed the authorities to immediately resolve the issues related to road connectivity and provision of utilities being faced by investors from China. Khan made the remarks during his meeting with a Chinese business delegation.

3. The Israeli government has pledged $44 million to airlines affected by the spread of the Delta strain of coronavirus. The total aid amount is expected to benefit all Israeli carriers and will come in the form of three-year bonds, without any interest. El Al Israel Airlines, which is Israel's flag carrier, Arkia and Israir suffered losses due to the pandemic.

4. Russia on Sunday accused the West of artificially whipping up tensions around Ukraine amid a Russian troop buildup at the border. The US, NATO and Ukraine have repeatedly raised concerns over Russian troop movements near the border and issued statements suggesting a potential attack by Russia. Also, Nikhil Nanda will be appointed as a Director of Kubota Holdings Europe B.V., a subsidiary which oversees the European machinery business.

# After completion of the Transaction, Kubota Agricultural Machinery India and Escorts Kubota India are to be merged with Escorts.

*Re-Evaluation Means Delay for Deal*:- On occasion of 42nd AGM, RIL chairman announced that “Saudi Aramco and Reliance agreed to form a long-term partnership in Oil to Chemicals (O2C) division. Saudi Aramco will invest in Reliance for a 20% stake in O2C division at an Enterprise Value of US$75bn”. Today’s announcement has postponed this deal for “unknow period”. Investors were under impression that “the proposed deal transaction will be completed during the CY21/CY22”. Based on the signals from latest AGM (dated 24th June 2021) speech of RIL’s Chairman 1) appointment of Mr. H.E. Yasir Al-Rumayyan, (Chairman of Saudi Aramco) on the Board of RIL as an Independent Director; and 2) To achieve accelerated growth, RIL look forward to welcome Saudi Aramco as a strategic partner in O2C business. Along with this, current crude prices near to 7-year high of US$85/bbl strongly supported to investors assumptions that Saudi Aramco will increase capex plan for CY21/CY22 which will accommodate the acquisition of 20% stake in RIL’s O2C business.

*No Major Setback for RIL*:- We do not see re-evaluation of O2C Biz deal as major setback for RIL investors, mainly due to *1) Heavy Debt to Net Cash, Priority Changed*: At the time of deal announcement in Aug’19, RIL’s total outstanding net debt was US$22.2bn (Sept’19) and the management was very keen to raise the funds to lower the debt burden. In last 2 years, RIL acted as “Deal Machine”, balance sheet position is now net cash. Based upon the 2QFY22 numbers, RIL is net cash company with ~US$0.5bn. Debt reduction is no major priority now; *2) Valuation of O2C Biz based on FY24E are 5% Higher Than US$75bn (Without Any Synergies from Deal)*: Proposed deal of O2C business was valued at EV of US$75bn in Aug’19. In current context, Benchmark Singapore GRM is at US$7.6/bbl (avg. 3QFY22TD) much higher than US$5.1/bbl (avg. 2QFY20), looking ahead, we believe GRM to sustain at elevated levels based on the strong demand of petroleum products and recovery in Gasoline, Gasoil, LPG and Jet fuel cracks. Notably, avg. 3QFY22TD Petchem margins are much better than the 2QFY20. Improvement in outlook of GRM and petrochemical margins has led to re-rating of valuation multiple to 8.5x EV/EBITDA compared to 7.5x (in Aug’19) of RIL’s O2C business. Based on consensus EBITDA estimates for period of FY24E, RIL’s O2C business is valued at US$79bn (~EV=Rs930/share), which is 5% higher than proposed deal valuation of US$75bn. Out of this proposed deal, synergies were expected to aid more to balance sheet.

*Amber Enterprises* and its subsidiary IL JIN have received approval under the Production Linked Incentive Scheme for Air Conditioners (components). Amber would be required to make investment of Rs. 300 Cr & IL JIN Rs. 100 Cr. We estimate cumulative revenue of Rs. 5-5.5k Cr to accrue over the 5 year period under both the PLI schemes combined. Positive in long term. (It was already expected that the co would get selected)

Reliance Industries Ltd (RIL) said that it is withdrawing its application to get necessary approvals to hive off its oil-to-chemicals (O2C) business into a separate unit due to the evolving nature of its business portfolio.

RIL also said it has mutually determined with Saudi Aramco that it would be beneficial for both parties to re-evaluate the proposed investment in the O2C business in light of the changed context.
