🌟 2024 full-year financial report | by Maclear AG

We've published our annual financial report for 2024, alongside the overview letter from our CFO explaining the numbers.

This report came later than planned. As our operations scaled, so did the complexity of the numbers. We brought in an auditor and changed our accountant during the same period.

In 2024, our team focused on platform development and expansion:

🌟 Loan portfolio grew 13x

🌟 Revenue grew 7x

🌟 Interest income grew 126x

🌟 Share capital grew 1.25x

All investor payments were made in full and on time. There were no defaults on issued loans.

The report covers the full picture — balance sheet, P&L, and notes. We recommend reading the CFO's letter first: it explains what's behind the figures and where the platform is heading.

As for 2025, the loan portfolio has already exceeded CHF 50 million, and we expect equity to turn positive by year-end.

🌟 How we score projects and what drives the rate: Maclear’s logic behind

Every project on our platform receives a credit rating from AAA to D, similar in structure to the systems used by S&P, Moody’s, and Fitch.

🌟 This is the final overall rating after we assess all relevant risks.

Our rating framework is based on three dimensions:

🌟 Borrower’s financial health

🌟 Qualitative assessment of the business, management, and industry

🌟 Debt service capacity, including metrics such as DSCR and EBIT/Interest

These three layers help us understand how resilient the project may be over time.

🌟 The rating is an important factor in determining APR. Higher-rated projects typically receive a lower rate, though other factors also play a role.

Projects with a D rating do not pass due diligence and are not listed on the platform at all.

At the moment, we have no projects with a C rating on the platform, which shows how strictly we select projects.

APR is fixed for the entire fundraising period and does not change after you invest. In practice, the rate stays the same for the investor throughout the project’s collection period.

🌟 Another important factor is LTV (loan-to-value), meaning the ratio between the loan amount and the value of the collateral. The higher the LTV, the higher the potential APR — it is so because the risk is also higher.

🌟 And there is one more layer: bonuses such as referral rewards, loyalty rewards, and cashback. These are added on top of the base APR and can increase the effective return to 16.5% and sometimes even higher.

🌟 So in short: LTV affects the APR, and the APR is assigned annually and fixed. But the final rating is never based on one metric alone — it is the result of a full risk assessment.

🌟Important: changes to the Secondary Market

New rules already took effect — we’re sharing the full details below so as everyone has the same clear understanding.

🌟 What’s changing?

🌟 Bonus positions — these are bonuses given to investors for meeting certain conditions (including €30 for every €500 invested and voucher bonuses*) — can no longer be sold on the Secondary Market.

*These bonuses are considered as a separate investment.

💡 Example: you funded €500 into a project and received €30 as a bonus. The bonus portion stays with you but cannot be listed on the Secondary Market, while the €500 you invested can be sold.

This applies regardless of who holds them: the original bonus recipient or an investor who bought them on the Secondary Market afterward.

Bonus positions that investors already listed remain active and can still be sold.

🌟 Loyalty bonus is applied per holder, and each investor earns with their own loyalty rate.

• You invest => your loyalty % applies
• You list for sale => investment keeps working
• You sell => you get dividends until sale (with your loyalty %)
• Buyer gets it => their loyalty % applies from then on

🌟 Regular investments can now be listed for sale only after 14 days from when the project reaches Funded status.

🌟 The rule that after purchasing an investment on the Secondary Market, you cannot relist it for 30 days remains unchanged.

A quick reminder: a 2.5% seller fee applies only when the sale is completed. If the listing isn't purchased within 14 days, it's automatically removed and no fee is charged. Buyers pay no fees.

🌟 So what happens to bonus positions?

Your bonus funds are not blocked forever. They continue working according to the project schedule, reach the final payout like any regular investment, and become withdrawable afterward just like any other funds.

🌟 Even with this change, the Secondary Market on Maclear remains one of the fastest secondary markets available (median time to sell a lot — around 3 hours), and the 14-day waiting period for new investments is significantly shorter than on major P2P lending platforms.
