Case Title : Harinagar Sugar Mills Ltd. (Biscuit Division) & Anr. v. State of Maharashtra & Ors.

The Supreme Court held that the right to shut down a business is part of the fundamental right under Article 19(1)(g), but it is subject to reasonable restrictions like those under the Industrial Disputes Act, 1947.

🔹 Background: HSML sought closure of its biscuit unit after Britannia ended its 30-year job contract. The Maharashtra Govt rejected their closure application, calling it incomplete.

SC Ruling:

🔹The Court ruled that the closure application was valid from August 28, 2019.

🔹The 60-day deemed closure period had expired by October 2019.

🔹The Deputy Secretary lacked authority to reject or delay the application.

🔹HSML was ordered to pay an additional ₹5 crores in compensation to workers.

Verdict: Appeals allowed. Closure deemed legal. The judgment reinforces the right to exit a business, with fair treatment to workers.
