🖇On April 21, 2026, the new Law of the Republic of Uzbekistan No. LRU-1137 “On Limited Liability Companies” (the “New LLC Law”) was adopted and will enter into force on July 22, 2026. As of the same date, the previous Law No. 310-II dated December 6, 2001, will cease to be effective.
The New LLC Law significantly modernizes corporate governance, provides a detailed framework for transactions with affiliated persons, introduces the concepts of majority and minority participants, and establishes fiduciary duties of management.

📁In order to enhance the investment attractiveness of the Republic of Uzbekistan and ensure the integration into the global financial system, pursuant to the Decree of the President of the Republic of Uzbekistan “On the Establishment of the Tashkent International Financial Center” No.UP-48 dated March 30, 2026 (the “Decree No.UP-48”), a decision has been approved to establish the Tashkent International Financial Center (the “TIFC”) and to develop a draft Constitutional Law “On the Tashkent International Financial Center.”
The TIFC is envisaged as a special zone with its own jurisdiction, covering financial services, capital markets, investment activities, digital assets, as well as a dispute resolution system.
It is worth noting that one of the key objectives of the TIFC, among others, is the development of Islamic finance, financial technologies, the digital (crypto) asset market, as well as related professional services (including audit, consulting, legal services, compliance, and others).
