Job description:
• Prepare necessary forms for incorporation(s), liquidation(s) and restructuring(s) of entities under various applicable laws in various international jurisdictions
• Draft Board minutes / Resolutions for various day-to-day and Special Project related transactions
. Setting of Corporate Structure involving International companies and working on the same with Lawyers, administrators, etc.
• Ensure accurate and timely filing of annual confirmation statements, annual returns, etc.
• Review Companies law and Memorandum / Articles of Association and provide guidance / advice to various business units.
• Prepare bespoke lists and structures as per management’s requirements.
• Various other Corporate Secretarial tasks including bespoke Management projects.

SEBI vide its notification dated Jun 14, 2023, has notified SEBI (LODR) (Second Amendment) Regulations, 2023.

A series of amendments/new provisions have been introduced. The key highlights are:

- Insertion of Regulation 17(1D)- With effect from April 1, 2024, the continuation of a director serving on the board of directors of a listed entity shall be subject to the approval by the shareholders in a general meeting at least once in every five years from the date of their appointment or reappointment. This will end permanent director seat in board of a listed company.
- Vacancy of Managing Director, Compliance Officer, Chief Executive Officer and Chief Financial Officer and other KMPs to be filled up within a period of three months from the date of such vacancy
- Introduction of quantitative thresholds for determining materiality of events in Reg 30
- Timeline for disclosure of material events to stock exchange reduced to 12 hrs for the occurrence of the event or information, emanating from within the listed entity
- Market rumours to be verified and confirmed, denied or clarified, as the case may be, by top 100 listed entities by market capitalization effective from October 1, 2023 and by top 250 from April 1, 2024
- Disclosure requirements for certain types of agreements binding listed entities
