This proposal aims to transform Sushi by adopting a Labs model to restructure Sushi's current organizational structure, enhance operational efficiency and accelerate protocol development. Sushi Labs, supported by Sushi DAO, will focus on product development and management, expand Sushi's product offerings and attract talent. Ultimately increasing the value and utility of the Sushi ecosystem for all Sushi holders while addressing three main issues: slower response to market changes due to cumbersome governance, reduced development pace from funding issues tied to bureaucratic processes, and difficulty attracting and retaining talent due to an opaque organizational structure.
Thus, Sushi Labs will be an autonomous administrative, technical, and operational company(ies) within the Sushi ecosystem that aligns with the DAO strategic objectives. Sushi DAO will transition to primarily decentralized on-chain governance to ensure clarity, maintain a flat structure without hierarchical positions, and focus on asset and resource management. Consequently, Jared Grey's role will transition from Head Chef to concentrate solely on advancing Sushi Labs.
While Sushi Labs will focus on the continuous maintenance and expansion of Sushi product offerings and adopt a franchised DEX model through partnerships, the proposal requests that Sushi DAO award a grant of 25 million SUSHI to Sushi Labs, including assets from the Arbitrum airdrop, business development, and partner grants, Kanpai 2.0, Sushi 2.0, rewards, stablecoins, and "Sushi House" funds. In addition, Sushi Labs will be the sole beneficiary of future airdrops awarded to Sushi by protocols and partners.
Furthermore, the proposal suggests enhancing the legal support for both the Sushi DAO and Sushi Labs by building on the existing legal foundation established by Fenwick. This includes bringing in-house legal expertise through Gresham International and securing the necessary licenses for international operations. In terms of governance, Sushi plans to adopt a structure inspired by the Synthetix Council, introducing formal mechanisms for governance proposals, including Sushi Improvement Proposals (SIPs), Sushi Configuration Change Proposals (SCCPs), and Sushi Treasury Proposals (STPs). This will also involve establishing several councils, such as the Sushi High Kitchen, Treasury Council, Grants Council, and Ambassador Council, to oversee various aspects of Sushi's operations.
Sushi Labs commits to revamping the tokenomics of the SUSHI token, implementing mechanisms for protocol fee distribution, and introducing gauges. To maintain transparency and inform stakeholders of its progress, Sushi Labs will provide quarterly and annual reports detailing its achievements and ongoing developments to the DAO.
