A detail related to buying a company, and it's liabilities.
If you tell your lawyer you plan to buy a company, the first thing your lawyer will try to make you do is structure it as an "asset deal", where you buy all the assets, but not the legal entity itself. This is because when you buy the entire entity, you can't escape also owning all known and unknown legal liabilities. Any skeletons in the closet? Yeah, you *probably just bought those too.
One of the things that has to happen for this Twitter deal to go all the way to close is for Twitter execs & lawyers to fully disclose all known legal risks, major skeletons in the closet, and anything that might not be a liability today but which they can reasonably foresee may become a liability.
With all the shady things Twitter has done, and its rumored secret usage of black ops data centers run by elements of the US government... that could all get real messy. Twitter might have secret cost saving "deals" with shadow/CIA controlled hosting companies who quietly announce they are "going out of business", and then Twitter current financial model won't be able to afford paying the real costs of their infrastructure. Such a "material change" in its operating costs during the middle of an acquisition could be enough to terminate the deal, and Twitter ends up dying.
The small possibility that Twitter still goes up in flames might not be over yet. Accepting Elon's deal might be a way for the Board to avoid being sued out of existence by shareholders, while other factors still flare up to stop Elon from taking possession and running it as people are expecting.
