The SEC unveiled "Regulation Crypto Assets," its first major step toward a dedicated crypto regulatory framework. Smaller projects could raise up to $5M over four years without full registration. Another exemption allows up to $75M yearly with financial disclosures and ongoing reporting.
A key provision: tokens may exit investment contract status if the team completes or permanently halts all managerial efforts, assuming other conditions are met. This acknowledges that while tokens may not be securities, the initial investment contract might have been.
This is a proposal. The public has 60 days to comment after publication; the SEC may revise rules before a final vote.
